Resumen

En este trabajo se analiza si los consejos de administración efectivos para atender los intereses de los accionistas también resultan efectivos para garantizar los intereses del resto de los grupos de interés de la firma. Medimos la efectividad de la junta en función de la perspectiva de los accionistas y probamos si es válida para la perspectiva de las partes interesadas. La novedad de este trabajo radica precisamente en su enfoque, dado que considera ambas perspectivas de gobierno corporativo a la vez. Utilizando la transparencia de los informes de sostenibilidad como un proxy de la perspectiva de los grupos de interés en una muestra internacional de 2366 empresas, el documento muestra que es más probable que los directorios efectivos aborden los intereses tanto de los accionistas como del resto de los grupos de interés de la empresa. Además, proponemos una medida de la eficacia de la junta al reunir varias características de la junta.
